GENERAL TERMS AND CONDITIONS
1. General Provisions
These General Terms and Conditions for Service Providers constitute an integral part of each Service contract entered into between the Contractor and Sourcing Europa established in Amsterdam, Chamber of Commerce no. KvK-number 59706279.
The Vendor’s acceptance of an order for execution shall be understood as entering into a contract and acceptance of the terms set forth below. Exclusion, extension, and any changes to the following terms shall require individual contractual provisions made in writing by the Parties.
2. Definition
Artisan Resistance: Artisan Resistance, established in Amsterdam under Sourcing Europa, Chamber of Commerce no. KvK-number 59706279.
Client – a natural person with full legal capacity to act or a legal person or other unincorporated organizational unit, acting through an authorized person who has entered a service contract with Sourcing Europa.
Service Provider – a person providing translation, verification, editing, proofreading, DTP, typesetting, interpreting, advisory/consulting, training, lecture, and related services.
Service – food product sourcing, wine sourcing, beverage sourcing, private label and related services that have been subcontracted to the Provider as a subcontractor.
3. Applicability
These terms and conditions will apply to all quotations, offers, activities, orders, agreements and deliveries of services or products by or on behalf of Artisan Resistance.
Parties can only deviate from these conditions if they have explicitly agreed upon in writing.
The parties expressly exclude the applicability of supplementary and/or deviating general terms and conditions of the customer or of third parties.
4. General Conditions
We reserve the right to refuse service to anyone for any reason at any time.
You understand that your content, may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit card information is always encrypted during transfer over networks.
You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service, use of the Service, or access to the Service or any contact on the website through which the service is provided, without express written permission by us.
The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.
5. Accuracy Completeness and Timeliness of Information
We are not responsible if information made available on this site is not accurate, complete or current. The material on this site is provided for general information only and should not be relied upon or used as the sole basis for making decisions without consulting primary, more accurate, more complete, or more timely sources of information. Any reliance on the material on this site is at your own risk.
This site may contain certain historical information. Historical information, necessarily, is not current and is provided for your reference only. We reserve the right to modify the contents of this site at any time, but we have no obligation to update any information on our site. 6. Modifications to the Service and Prices
Prices for our service are subject to change without notice.
We reserve the right at any time to modify or discontinue the Service (or any part or content thereof) without notice at any time.
We shall not be liable to you or to any third-party for any modification, price change, suspension or discontinuance of the Service.
The prices of our service exclude VAT applicable according to current legislation. The prices shown on our website, including other concepts, are indicated in euros. Shipping costs have not been included in the prices listed on our website except in certain cases. Other additional expenses that may arise will be assumed by the buyer, who will be informed of all amounts and the resulting final price before the contract is perfected.
7. Payment for the service and payment terms
We only accept bank transfer payment for the use of our order and consolidation service.
Sourcing Europa may, at the conclusion of the agreement, require a down payment of up to 50% of the agreed amount for the service.
The customer must have paid the full amount within 7 days after receiving the invoice for the service rendered.
Payment terms are considered as fatal payment terms. This means that if the customer has not paid the agreed amount at the latest on the last day of the payment term, he is legally in default, without Sourcing Europa having to send the customer a reminder.
8. Claims
We place our customer service at your disposal for any claim you wish to make.

9. Performance of the agreement
Sourcing Europa executes the agreement to the best of its knowledge and ability and in accordance with the requirements of good workmanship.
Sourcing Europa has the right to have the agreed services (partially) performed by third parties.
10. Duty to inform by the customer
The customer shall make available to Sourcing Europa all information, data and documents relevant to the correct execution of the agreement to in time and in the desired format and manner.
The customer guarantees the correctness, completeness and reliability of the information, data and documents made available, even if they originate from third parties, unless otherwise ensuing from the nature of the agreement.
If the customer does not timely and properly provides the information, data or documents reasonably required by Sourcing Europa and the execution of the agreement is delayed because of this.
Applicable law and competent court
Dutch law is exclusively applicable to all agreements between the parties.
The Dutch court in the district where Sourcing Europa is established is exclusively competent in case of any disputes between parties, unless the law prescribes otherwise. Drawn up on 01 January 2021.
